INVESTMENT STRUCTURE      < BACK

Investment opportunities will be promoted on a first-come, first-serve basis. Each investor will purchase shares in a limited liability company (“LLC”) in exchange for an investment of $500,000 or $1,000,000.

Immediately upon the approval of the I-526 Petition, the previously pooled investor funds will be released from escrow and will flow directly to the LLC in exchange for shares as outlined above. Investments will be irrevocable, non-refundable and wholly at-risk, except in the event of an immigrant petition denial or the lack of action by the investor regarding his/her I-526 Petition for a twelve
(12) month period.

Regent America will deploy the funds to a specific project in the form of debt securities (mezzanine or equity structures possible as well). All securities will have a fixed term up to 5 years or longer depending on project needs. The original funds provided by investors will only be returned upon the terms and conditions of the securities being met. For example, in the case of debt securities the investors will receive the full face value of their investment at the end of the term, in addition to any interest payments made throughout the period.
